In a landmark ruling for employee rights, the Kerala High Court has held that an employer cannot refuse to accept an employee's resignation by citing financial constraints or the "indispensable" nature of their role. The Court made a powerful observation that forcing an individual to continue working against their will in such circumstances is equivalent to "bonded labour," which is strictly prohibited under Article 23 of the Constitution of India.

The judgment, delivered by Justice N. Nagaresh, brings much-needed clarity to the limits of employer authority, especially within Public Sector Undertakings (PSUs) where employees often face bureaucratic hurdles when trying to exit.

The case involved Greevas Job Panakkal, a Company Secretary at Traco Cable Company Limited, a State Public Sector Undertaking. Panakkal had tendered his resignation in March 2024, citing personal reasons. Following the death of his father, he was the sole caregiver for his mother, who suffered from severe neurological and psychiatric ailments. To make matters worse, the company had reportedly defaulted on his salary payments since October 2022.

Despite his clear intent to leave, the company’s Board rejected his resignation. Their justification? The company was in a critical financial crisis, and since the position of Company Secretary is a statutory requirement under the Companies Act, they claimed his services could not be dispensed with.

The company didn’t stop at just rejecting the resignation; they issued show-cause notices and memos directing him to resume duty and even threatened disciplinary action for his absence.

Justice Nagaresh, after hearing both sides, took a stern view of the company's tactics. The Court noted that while an employer has the right to regulate resignations based on contract terms (like notice periods), they cannot indefinitely hold an employee hostage to the company’s bad financial health.

The Court held:

"Financial issues or financial emergency cannot be a reason to force a Company Secretary to work for an incorporated company against his will and without his consent. In any other circumstance, if the employer refuses to accept the resignation of an employee, it would amount to bonded labour prohibited under Article 23 of the Constitution."

The Court clarified that the right to resign is not absolute but is governed by the employment contract. However, the grounds for refusal are very limited. According to the judgment, an employer can only refuse a resignation if:

The employee has not complied with the notice period mentioned in the contract.
The resignation was a "heat of the moment" decision which the employee might want to withdraw.
There are pending disciplinary proceedings for grave misconduct.
The employee has caused direct monetary loss to the establishment, and an inquiry is needed.

In this specific case, the Court found that none of these conditions were met. The "contemplated" disciplinary action mentioned by the PSU was viewed by the Court as a mere "attempt to violate the petitioner’s right to resign."

One of the most critical points discussed was the professional hurdle faced by Company Secretaries. Under the Companies Act, 2013, a Company Secretary’s appointment is registered with the Registrar of Companies (ROC).

If an employer refuses to file the necessary forms to "de-link" the membership, the professional is effectively barred from taking up a job elsewhere. The Court noted that by refusing to process the resignation, the PSU was not only forcing him to work but also preventing him from earning a living elsewhere—a double blow to his fundamental rights.

The High Court quashed the memos and notices issued by Traco Cable Company Limited and directed them to:

Formally accept the resignation within two months.
Relieve the petitioner from all duties immediately.
Settle all dues, including salary arrears, leave surrender benefits, and other terminal benefits "as expeditiously as possible," though this remains subject to the company’s current financial position.

This judgment is a massive win for workforce mobility in India. It sends a clear message to employers: you cannot use "indispensability" or "budget cuts" as a legal chain to keep an employee. By invoking Article 23 (Prohibition of traffic in human beings and forced labour), the Kerala High Court has elevated the right to resign from a mere contractual right to a fundamental constitutional protection.
